STANDARD TERMS AND CONDITIONS OF SALE
Definitions
1.1 “ICPAS” means the Institute of Certified Public Accountants of Somaliland.
1.2 “Client” means any individual or entity purchasing services, products, memberships, examinations, training, or event participation from ICPAS.
1.3 “Services” include but are not limited to examinations, training programs, CPD courses, certifications, memberships, publications, conferences, workshops, and related professional services.
1.4 “Fees” means all charges payable to ICPAS.
Acceptance of Terms
2.1 By registering, enrolling, purchasing, or making payment to ICPAS, the Client agrees to be bound by these Terms and Conditions.
2.2 ICPAS reserves the right to amend these Terms at any time. Updated terms will be published on the ICPAS website.
Fees and Payment
3.1 All Fees must be paid in full prior to the commencement of Services unless otherwise agreed in writing.
3.2 Fees are non-transferable unless expressly approved by ICPAS.
3.3 ICPAS reserves the right to suspend access to Services for non-payment.
3.4 Any bank charges or transaction fees are the responsibility of the Client.
Refund and Cancellation Policy
4.1 Registration fees are generally non-refundable.
4.2 Refund requests must be submitted in writing and are subject to approval by ICPAS management.
4.3 No refund shall be issued once training, examination, or event participation has commenced.
4.4 ICPAS reserves the right to cancel or reschedule programs. In such cases, Clients may transfer to a future session or receive a refund, excluding administrative costs.
Examination and Certification
5.1 Examination registration is valid only for the sitting applied for.
5.2 Candidates must comply with examination regulations and academic integrity policies.
5.3 ICPAS reserves the right to withhold results or certificates in cases of misconduct or unpaid fees.
5.4 Certificates remain the property of ICPAS until all obligations are fulfilled.
Membership and CPD
6.1 Members must comply with ICPAS regulations, ethical standards, and CPD requirements.
6.2 Annual membership fees must be paid within the prescribed period.
6.3 Failure to comply may result in suspension or removal from the membership register.
Intellectual Property
7.1 All materials provided by ICPAS, including training content, publications, exam materials, logos, and digital content, are the intellectual property of ICPAS.
7.2 No reproduction, distribution, or recording is permitted without prior written consent.
Liability
8.1 ICPAS shall not be liable for any indirect, incidental, or consequential losses arising from participation in its Services.
8.2 ICPAS’s total liability shall not exceed the Fees paid by the Client for the specific Service.
Force Majeure
9.1 ICPAS shall not be responsible for delays or failure to perform obligations due to events beyond its reasonable control, including but not limited to natural disasters, government restrictions, strikes, or technical disruptions.
Data Protection and Confidentiality
10.1 ICPAS shall process personal data in accordance with applicable laws and professional standards.
10.2 Client information shall not be disclosed except where required by law or regulatory obligation.
Governing Law
11.1 These Terms shall be governed by and construed in accordance with the laws applicable in the Republic of Somaliland.
Dispute Resolution
12.1 Any dispute arising under these Terms shall first be resolved amicably. If unresolved, the matter shall be referred to arbitration in accordance with applicable laws.
